Please be advised that you are licensing our graphics for non-commercial use as outlined in the licensing agreement below. By completing your order you are agreeing to the terms of our licensing agreement.
Personal Use Licensing Agreement
This Personal Use Licensing Agreement ("Agreement") is entered into as of the date of your purchase by and between IdeaLeap ("Licensor") and the registered purchaser collectively referred to as the "Parties."
1. Grant of License
Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the images provided by Licensor ("Images") solely for personal use within the workplace. This license does not permit any commercial use of the Images. "Personal use" is defined as use of the Images in a manner that does not directly or indirectly generate, or is intended to generate, commercial gain or profit. This includes, but is not limited to, use in internal presentations, documents, or as desktop wallpaper within the Licensee's place of employment.
2. Restrictions
Licensee agrees not to use the Images for any commercial purpose, including but not limited to advertising, promotion, creating web pages, integration into product, software or other business or commercial purposes. Licensee also agrees not to distribute, reproduce, modify, store, transfer or in any other way use the Images in any format for any public or commercial purpose without prior written consent of Licensor.
3. Intellectual Property Rights
Licensor retains all rights, title, and interest in the Images, including any intellectual property rights. The License granted under this Agreement does not convey any proprietary rights in the Images to Licensee.
4. Term and Termination
This Agreement is effective from the date of purchase and shall continue in effect until terminated by either Party with 30 days written notice. Upon termination, Licensee must immediately cease all use of the Images and delete or return all copies of the Images to Licensor.
5. Liability and Indemnification
Licensee agrees to indemnify and hold harmless Licensor from any claims, damages, losses, or expenses arising from Licensee's breach of any representations or agreements made in this Agreement.
6. Governing Law
This Agreement shall be governed by the laws of Canada and the purchaser’s home country of residence.
7. Entire Agreement
This Agreement constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, both written and oral, regarding such subject matter.
