HexiChange Digital Personal & Professional Use Licence Agreement

This Licence Agreement (“Agreement”) governs your use of the HexiChange Digital toolkit, including all digital files, images, text, templates, graphics, PDFs, and derivative materials provided (collectively, the “Licensed Materials”).

By purchasing, downloading, accessing, or using the Licensed Materials, you (“Licensee”) agree to the terms below. If you do not agree, do not purchase or use the materials.

1. Grant of Licence

IdeaLeap Consulting Inc. (“Licensor”) grants the Licensee a non-exclusive, non-transferable, revocable licence to use the Licensed Materials for:

personal professional use, and
use within consulting, coaching, training, and facilitation work with external clients,
internal use within the Licensee’s own organization.

This licence does not transfer ownership of the Licensed Materials.

2. Permitted Use

Under this licence, the Licensee may:

Use the materials in their own professional consulting, coaching, training, or facilitation work
Use the materials in paid or unpaid client engagements
Incorporate the materials into slide decks, documents, and digital boards shown to clients or workshop participants
Store files on personal devices
Use the materials in internal meetings, workshops, and training sessions within their employer organization

Important:

Clients and participants may see the materials, but may not receive the digital files or reusable versions unless they purchase their own licence.

3. Restrictions (Prohibited Use)

The Licensee may not, under any circumstances:

3.1 Redistribution & File Sharing

Share, email, transmit, upload, or distribute the Licensed Materials to clients, coworkers, or others
Upload files to any shared repository (e.g., SharePoint, Google Drive, Confluence, Miro boards shared with others)
Provide editable, high-resolution, or reusable versions of the cards to anyone

3.2 Prohibited Commercial Use

You may use the Licensed Materials commercially in your consulting and training work.

However, you may not:

Resell, license, sublicense, or commercially distribute the Licensed Materials themselves
Include the Licensed Materials in products, toolkits, or courses you sell
Provide clients with copies of the digital files, templates, or PDF sets

3.3 Modification & Derivative Works

You may not create modified versions for redistribution
You may not remove watermarks, branding, or copyright notices

Any use outside the scope of this Agreement requires written permission or an enterprise licence.

4. Ownership & Intellectual Property

The Licensed Materials are protected by copyright and remain the sole property of IdeaLeap Consulting Inc.

The Licensee receives usage rights, not ownership.

All rights not expressly granted are reserved.

5. Term & Termination

This licence remains in effect until terminated. The Licensor may terminate the licence if the Licensee breaches this Agreement.

Upon termination:

All usage rights immediately cease, and
The Licensee must delete all copies of the Licensed Materials

Restrictions and IP protections survive termination.

6. Enterprise Licensing

A separate enterprise licence is required if:

Multiple practitioners within the same organization will use the materials
The materials will be stored in shared repositories for team-wide access
The materials will be integrated into organizational training programs
The organization wishes to distribute the materials internally

7. No Warranty & Limitation of Liability

The Licensed Materials are provided “as is” without warranties of any kind. The Licensor is not liable for any indirect, incidental, or consequential damages.

8. Governing Law

This Agreement is governed by the laws of Canada. Any disputes shall be resolved in Canadian jurisdiction.

9. Acceptance of Terms

By purchasing, downloading, or using the Licensed Materials, the Licensee agrees to be bound by this Agreement.
